This Privacy Policy describes how your Personal Information (as that term is defined herein) is collected, used, and shared when you visit or make a purchase from www.modsprout.com (the “Site”). Modern Sprout does not as a matter of policy sell to consumers outside of the United States.

PERSONAL AND SENSITIVE INFORMATION WE COLLECT

When you visit the Site, we automatically collect certain Personal Information, Sensitive Information or Personal Data as those terms are used in certain laws, as well as personal information however defined by applicable statutes (referred to herein collectively as “Personal Information”), about your device, including information about your web browser, IP address, time zone, and some of the cookies that are installed on your device. Additionally, as you browse the Site, we collect information about the individual web pages or products that you view, what websites or search terms referred you to the Site, and information about how you interact with the Site. We refer to this automatically-collected information as “Device Information.” We do not collect any Person Information via any Modern Sprout app or social media site. Persons visiting our social media sites may, however, have their Personal Information collected by the owners of said sites, but that is not under the control of Modern Sprout.

We collect Device Information using the following technologies:

– “Cookies” are data files that are placed on your device or computer and often include an anonymous unique identifier. For more information about cookies, and how to disable cookies, visit https://www.allaboutcookies.org. We use cookies to help keep track of items you put into your shopping cart including when you have abandoned your cart and this information is used to determine when to send cart reminder messages via SMS.

– “Log files” track actions occurring on the Site, and collect data including your IP address, browser type, Internet service provider, referring/exit pages, and date/time stamps.
– “Web beacons,” “tags,” and “pixels” are electronic files used to record information about how you browse the Site.

Additionally, when you make a purchase or attempt to make a purchase through the Site, we collect certain Personal Information from you, as those terms are defined under California law, including your name, billing address, shipping address, payment information (including credit card numbers), email address, and phone number. We may also refer to this information as “Order Information.” When we talk about “Personal Information” in this Privacy Policy, we are talking both about Device Information and Order Information.

HOW DO WE USE YOUR PERSONAL INFORMATION?

We use the Order Information that we collect generally to fulfill any orders placed through the Site (including processing your payment information, arranging for shipping, and providing you with invoices and/or order confirmations). Additionally, we use this Order Information to:
–Communicate with you;
–Screen our orders for potential risk or fraud; and
–When in line with the preferences you have shared with us, provide you with information or advertising relating to our products or services.

We use the Device Information that we collect to help us screen for potential risk and fraud (in particular, your IP address), and more generally to improve and optimize our Site (for example, by generating analytics about how our customers browse and interact with the Site, and to assess the success of our marketing and advertising campaigns).

Modern Sprout will indefinitely retain personal and sensitive information.

SHARING YOUR PERSONAL INFORMATION

We share your Personal Information with third parties to help us process sales to you. We also share Personal Information with and use Google Analytics to help us understand how our customers use the Site–you can read more about how Google uses your Personal Information here: https://www.google.com/intl/en/policies/privacy/. Any third party with which Modern Sprout shares Personal Information is obligated to comply with the Privacy Policy stated herein and to comply with applicable state and national privacy laws. Modern Sprout has the contractual right to seek damages and equitable relief against any third party that violates modern sprout’s privacy policies or applicable law

Finally, we may also share your Personal Information to comply with applicable laws and regulations, to respond to a subpoena, search warrant or other lawful request for information we receive, or to otherwise protect our rights.

The above excludes text messaging originator opt-in data and consent; this information will not be shared with any third parties.

Modern Sprout does not sell any Personal Information to third parties.

BEHAVIORAL ADVERTISING

As described above, we use your Personal Information to provide you with targeted advertisements or marketing communications we believe may be of interest to you. SECURITY MEASURES

Modern Sprout uses up-to-date security measures to prevent the unauthorized access or use of personal or sensitive information, and requires that its third-party contractors likewise maintain up-to-date security measures.

TO OPT OUT OF DATA COLLECTION

A consumer shall have the right, at any time, to direct Modern Sprout not to share the consumer’s Personal Information. This right may be referred to as the right to opt-out of sale or sharing.

In addition, Modern Sprout will never knowingly enter into a sales contract with any minor, and thus does not knowingly collect any personal or sensitive information about minors. As such, Modern Sprout will never sell or share the Personal Information of consumers if Modern Sprout has actual knowledge that the consumer is less than 16 years of age, unless the consumer, in the case of consumers at least 13 years of age and less than 16 years of age, or the consumer’s parent or guardian, in the case of consumers who are less than 13 years of age, has affirmatively authorized the sale or sharing of the consumer’s Personal Information.

Upon receipt of a verifiable directive from a consumer not to sell or share the consumer’s Personal Information or, in the case of a minor consumer’s Personal Information has not received consent to sell or share the minor consumer’s Personal Information, Modern Sprout shall thereafter refrain from selling or sharing the consumer’s Personal Information after its receipt of the consumer’s direction, unless the consumer subsequently provides consent, for the sale or sharing of the consumer’s Personal Information.

PLEASE NOTE THAT Modern Sprout cannot and does not alter our Site’s data collection and use practices when we see a Do Not Track signal from your browser. If you wish to exercise any of the rights to opt out of or limit data collection, please follow the directions provided for herein.

TO DELETE INFORMATION THAT HAS BEEN COLLECTED

A consumer shall have the right to request that Modern Sprout delete any Personal Information about the consumer which Modern Sprout has collected from the consumer. Upon verifiable receipt of such a request, Modern Sprout shall delete the consumer’s Personal Information from its records.

Modern Sprout shall have the right to retain Personal Information solely for the purpose of verifying it has complied with this provision to delete Personal Information. Modern Sprout shall be under no obligation to delete Personal Information if necessary to:

1) Complete the transaction for which the Personal Information was collected, fulfill the terms of a written warranty or product recall conducted in accordance with federal law, provide a good or service requested by the consumer, or reasonably anticipated by the consumer within the context of Modern Sprout’s ongoing business relationship with the consumer, or otherwise perform a contract between Modern Sprout and the consumer.

(2) Help to ensure security and integrity to the extent the use of the consumer’s Personal Information is reasonably necessary and proportionate for those purposes.

(3) Debug to identify and repair errors that impair existing intended functionality.

(4) Exercise free speech, ensure the right of another consumer to exercise that consumer’s right of free speech, or exercise another right provided for by law.

(5) Comply with the California Electronic Communications Privacy Act pursuant to Chapter 3.6 (commencing with Section 1546) of Title 12 of Part 2 of the Penal Code.

(6) Engage in public or peer-reviewed scientific, historical, or statistical research that conforms or adheres to all other applicable ethics and privacy laws, when Modern Sprout’s deletion of the information is likely to render impossible or seriously impair the ability to complete such research, if the consumer has provided informed consent.

(7) To enable solely internal uses that are reasonably aligned with the expectations of the consumer based on the consumer’s relationship with Modern Sprout and compatible with the context in which the consumer provided the information.

(8) Comply with a legal obligation.

A CONSUMERS’ RIGHT TO CORRECT INACCURATE PERSONAL INFORMATION

A consumer shall have the right to request that Modern Sprout correct any inaccurate Personal Information about the consumer collected by Modern Sprout, taking into account the nature of the Personal Information and the purposes of the processing of the Personal Information.

Upon receipt of a verifiable request to correct information, Modern Sprout shall use commercially reasonable efforts to correct the inaccurate Personal Information as directed by the consumer, pursuant to applicable law.

REQUESTING INFORMATION ABOUT DATA BEING COLLECTED BY OR ON BEHALF OF MODERN SPROUT

Upon written request sent either to sprout@modsprout.com or by mail to DATA COLLECTION REQUESTS, 2010 W Fulton St. F304, Chicago, IL, 60612, United States, Modern Sprout will provide a consumer with information about:

(1) The categories of Personal Information it has collected about consumers.

(2) The categories of sources from which the Personal Information is collected.

(3) The business or commercial purpose for collecting, selling, or sharing Personal Information.

(4) The categories of third parties to whom the business discloses Personal Information.

(5) How to request the specific pieces of Personal Information the business has collected about that consumer.

CONSUMERS’ RIGHT OF NO RETALIATION FOLLOWING OPT OUT OR EXERCISE OF OTHER RIGHTS

Modern Spout shall not discriminate against a consumer because the consumer exercised any of the consumer’s rights under this Privacy Policy or applicable law, including, but not limited to, by:

(A) Denying goods or services to the consumer (except where the consumer refuses to provide information required to consummate payment, and thus Modern Spout cannot confirm or receive payment for goods ordered on the website at the time the order is placed.

(B) Charging different prices or rates for goods or services, including through the use of discounts or other benefits or imposing penalties.

(C) Providing a different level or quality of goods or services to the consumer (except as is a practical result of the refusal to provide information necessary to receive the same level or quality of goods or services).

(D) Suggesting that the consumer will receive a different price or rate for goods or services or a different level or quality of goods or services.

(E) Retaliating against an employee, applicant for employment, or independent contractor for exercising their rights under applicable laws.

Modern Sprout reserves the right to charge a consumer a different price or rate, or from providing a different level or quality of goods or services to the consumer, if that difference is reasonably related to the value provided to Modern Sprout by the consumer’s data.

Modern Sprout reserves the right to offer loyalty, rewards, premium features, discounts, or club card programs.

Modern Sprout may, from time to time, offer financial incentives, including payments to consumers as compensation, for the collection of Personal Information, the sale or sharing of Personal Information, or the retention of Personal Information. A business may also offer a different price, rate, level, or quality of goods or services to the consumer if that price or difference is reasonably related to the value provided to Modern Sprout by the consumer’s data. Modern Sprout shall notify consumers of these financial incentives.

A consumer must give Modern Sprout prior opt-in consent pursuant to the material terms of the financial incentive program, and a consumer may revoke that consent at any time.

CHANGES

We may update this privacy policy from time to time in order to reflect, for example, changes to our practices or for other operational, legal or regulatory reasons.
